SEC Releases:
$489k SEC Enforcement Action | Advisory Fee Practices Lessons
- The SEC recently announced a settled enforcement action against a $357 Million AUM RIA (Wealth Manager with a separately registered Broker/Dealer) for charging advisory fees that were inconsistent with its advisory agreements and Form ADV disclosures.
- The Adviser did not adequately disclose certain conflicts of interest related to affiliated compensation and failed to implement its written compliance policies and procedures governing fee calculations and related disclosures.

SEC Enforcement: Pre-IPO Fund Practices Under Scrutiny
- The SEC charged a New York Investment Adviser that managed Private Funds investing in Pre-IPO Companies (such as SpaceX and Klarna), its CEO, and three affiliated General Partners, with allegedly defrauding investors and client Funds.
- The SEC alleges that the defendants engaged in a multi-part scheme involving multiple violations.

SEC Risk Alert | Lost Securityholder Rule Compliance
- The SEC’s Division of Examinations issued a Risk Alert on August 28th, 2026, regarding compliance with Exchange Act Rule 17Ad-17, known as the Lost Securityholder and Unresponsive Payees Rule.
- The Division is sharing examination observations for Firms to consider when evaluating their compliance with the Rule.
